By accessing, browsing, or using the Elara wellness platform ("Elara," "the Platform," "the Service"), operated by Ironclad Consulting LLC, doing business as IroncladOS, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must immediately discontinue use of the Platform. These Terms constitute a legally binding agreement between you ("User," "you," "your") and Ironclad Consulting LLC ("Company," "we," "us," "our"). We reserve the right to modify these Terms at any time. Continued use of the Platform after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
Elara is an AI-powered wellness platform that provides personalized guidance, Ayurvedic dosha assessment, energy tracking, breathwork guidance, community circles featuring AI-generated historical figure personas, and personalized rituals. The Platform utilizes artificial intelligence technologies, including large language models, to generate content, insights, and recommendations. All AI-generated content on the Platform is produced by machine learning systems and should be understood as algorithmically generated output. The Platform is designed for informational, educational, and entertainment purposes only. Elara is not a medical device, therapeutic tool, diagnostic instrument, or licensed healthcare service. No content on the Platform should be construed as professional advice of any kind.
To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens, and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You must notify us immediately of any unauthorized use of your account or any other breach of security. Ironclad Consulting LLC will not be liable for any loss or damage arising from your failure to protect your account credentials. We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or have been inactive for an extended period.
Certain features of Elara require a paid subscription. Subscription fees are billed on a recurring basis (monthly or annually, depending on the plan selected) through our third-party payment processor, Stripe. By providing payment information, you represent and warrant that you are authorized to use the payment method. All fees are stated in U.S. dollars unless otherwise specified. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle, and you will retain access to paid features until that time. Ironclad Consulting LLC reserves the right to change subscription pricing with reasonable notice. Refunds are handled in accordance with our refund policy. We are not responsible for any fees charged by your bank, payment provider, or other third parties.
Elara offers a free tier with limited access to Platform features, including a restricted number of AI conversations, basic dosha assessment, and limited community participation. Free-tier users may experience usage limits, reduced functionality, or delayed access to new features. Paid subscription tiers, including the Founders tier, provide expanded or unlimited access to AI conversations, advanced wellness tools, full community circle participation, energy tracking, breathwork guidance, and other premium features. The specific features available at each tier are described on the Platform and are subject to change. Ironclad Consulting LLC reserves the right to modify, add, or remove features from any tier at any time. Promotional or early-access pricing may be offered at our sole discretion and may be subject to additional terms.
All guidance, insights, recommendations, conversations, and other content generated by Elara's AI systems are produced by artificial intelligence models and algorithms. AI-generated content is provided for informational and entertainment purposes only. You acknowledge and agree that:
The Platform features AI-generated personas inspired by historical figures (such as Buddha, Albert Einstein, Mahatma Gandhi, and others) within community circles and other interactive features. You acknowledge and agree that:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IRONCLAD CONSULTING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, HEALTH, EMOTIONAL WELLBEING, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
IN NO EVENT SHALL THE TOTAL LIABILITY OF IRONCLAD CONSULTING LLC TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO IRONCLAD CONSULTING LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY U.S. DOLLARS ($50.00), WHICHEVER IS GREATER. THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF THE ABOVE-STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
By using the Platform, you expressly acknowledge, understand, and voluntarily assume the following risks:
You agree to defend, indemnify, and hold harmless Ironclad Consulting LLC (doing business as IroncladOS), its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your reliance on any AI-generated content, wellness guidance, or historical figure persona interactions; (e) any content you submit, post, or transmit through the Platform; (f) your negligent or wrongful conduct; or (g) any claim that your use of the Platform caused injury or harm to any third party. This indemnification obligation shall survive the termination of your account and these Terms.
You agree not to use the Platform for any unlawful, harmful, or prohibited purpose. Without limitation, you agree not to:
Ironclad Consulting LLC reserves the right to suspend or terminate your account and refuse any and all current or future use of the Platform for any violation of these acceptable use provisions.
All content, features, functionality, software, designs, text, graphics, logos, icons, images, audio, video, and the overall look and feel of the Platform are owned by Ironclad Consulting LLC (doing business as IroncladOS) or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The Elara name, the IroncladOS name, and all related logos and marks are trademarks of Ironclad Consulting LLC. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on any part of the Platform without our express written consent. User-generated content (including text, images, and data you submit to the Platform) remains your property; however, by submitting content to the Platform, you grant Ironclad Consulting LLC a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, and display such content in connection with operating and improving the Platform.
The Platform is intended for users who are at least eighteen (18) years of age. Users between the ages of sixteen (16) and eighteen (18) may use the Platform only with the express consent and ongoing supervision of a parent or legal guardian. The parent or legal guardian of a minor user assumes full responsibility for the minor's use of the Platform and agrees to be bound by these Terms on the minor's behalf. Users under the age of sixteen (16) are strictly prohibited from using the Platform. If we learn that a user under the age of sixteen (16) has created an account, we will promptly terminate that account and delete any associated data. These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, United States of America, without regard to its conflict of law provisions. Any legal action, suit, or proceeding arising out of or relating to these Terms or the Platform shall be instituted exclusively in the state or federal courts located in the State of Louisiana, and you irrevocably submit to the exclusive jurisdiction of such courts. You waive any objection to venue or jurisdiction in such courts. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The failure of Ironclad Consulting LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms, together with any applicable privacy policy and subscription agreements, constitute the entire agreement between you and Ironclad Consulting LLC regarding the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.
